All expenses were allocated evenly between Virtus Investment Partners, Inc. and Virtus Fund Advisers, LLC (formerly RidgeWorth Capital Management LLC). Virtus Investment Partners, Inc. purchased Virtus Fund Advisers, LLC. In connection with the Merger to which this Form N-8F relates, certain series of RidgeWorth Funds were reorganized into newly created corresponding series of Virtus Asset Trust, a registered investment company that is advised by Virtus Fund Advisers, LLC. The Merger was part of the larger plan to integrate the advisory business of Virtus Fund Advisers, LLC into Virtus Investment Partners, Inc.’s family of companies. Virtus Fund Advisers, LLC is an indirect, wholly-owned subsidiary of Virtus Investment Partners, Inc.
