NARRATIVE

As previously announced, we are in the process of liquidating our DBS division purchased in early 2005. In addition, we recently completed new financing arrangements to provide the Company with additional equity to maintain our Nasdaq listing.  Due to the management time spent negotiating and closing the financing transaction, and getting our independent auditors to review such transactions, we are unable to complete our Annual Report on Form 10-KSB for the period ended December 31, 2005 without unreasonable effort or expense.
