Item 2.02. Results of Operations and Financial Condition.

In connection with Valassis Communications, Inc.’s (the “Company”) previously announced conference call to discuss its recent lawsuit settlement with News America Marketing to be held on Friday, February 12, 2010, at 11:00 a.m. (Eastern Standard Time), the Company expects to present certain non-public financial information relating to the Company’s preliminary, unaudited results of operations and financial condition as of, and for the year ended, December 31, 2009. Such financial information is attached hereto as Exhibit 99.1.
