Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 18, 2015, the Board of Directors of Synopsys, Inc. (“Synopsys”) appointed Trac Pham, Synopsys’ Chief Financial Officer, as Synopsys’ interim principal accounting officer, effective as of June 26, 2015.

Mr. Pham, age 46, has served as Synopsys’ Chief Financial Officer since December 2014. He previously served as Synopsys’ Vice President, Corporate Finance from August 2012 to December 2014 and its Vice President, Financial Planning and Strategy from November 2006 to August 2012. Mr. Pham holds a Bachelor of Arts in Economics from the University of California, Berkeley and an MPIA (Master of Pacific International Affairs) from the University of California, San Diego, where he was a Schoepflin Fellow. He is an active status California CPA.
