with the SEC. This shelf registration statement became effective upon filing and allows the Company to sell securities, including common stock, preferred stock, depository shares, stock purchase contracts, warrants and units, from time to time at prices and on terms to be determined at the time of sale. On

2016,

the Company filed a post-effective amendment to this registration statement, which allowed for its use by the Company when declared effective by the SEC’s staff on

18,

2016.

In

2017,

the Company completed a public offering of

shares of its common stock at a price of

$8.50

per share, which included the underwriters’ overallotment option to purchase additional shares. Net proceeds were approximately

after deducting underwriting discounts and offering expenses.
