ITEM 8.01.                                    Other Events.

 

As previously announced on July 26, 2006, QuickLogic Corporation (the “Company”) is conducting an internal review of its stock option practices and related accounting. QuickLogic notified the U.S. Securities and Exchange Commission (SEC) of the internal review on that date.

 

In response, on August 1, 2006, the Company received an informal inquiry from the SEC requesting certain documents and information relating to the Company’s practices, procedures and disclosures regarding its stock option grants. The Company intends to cooperate fully with the SEC.
