Item 2.02. Results of Operations and Financial Condition.

On August 16, 2005, United Retail Group, Inc. (the “Company”) issued a press release, which is furnished as Exhibit 99.2 to this report, for publication on August 17, 2005. The press release contains financial data with respect to the second fiscal quarter.

The percentage changes in comparable store sales mentioned in the press release refer to those stores that were open for at least 12 months. A store that is relocated within the same shopping center or mall is considered comparable. However, if the store is relocated elsewhere, it is considered a new store and not comparable. A store that is expanded or contracted is still comparable, i.e., the sales from the remodeled store are considered comparable. Stores that are closed are not considered comparable. The comparable store sales calculation is not adjusted for changes in the store sales return reserve.

SECTION 8 – Other Events.

Item 8.01 – Other Events.

On August 10, 2005, the Company published a press release, which is furnished as Exhibit 99.1 to this Report, with respect to the partial reversal of the previously recorded expense described in the following paragraphs of this Section 8.01.

A subsidiary of the Company, United Retail Incorporated (“URI”), is the defendant in a suit in California Superior Court, Los Angeles County, styled Erik Stanford et ano vs. United Retail Incorporated, served on URI by two former store managers in California. The suit is purportedly a class action on behalf of certain current and former URI associates employed in California.

The plaintiffs in the Stanford case assert wage and hour claims and related claims against URI with respect to the period from April 1999 to December 2004.

As previously reported, on March 18, 2005, URI and the named plaintiffs entered into a Stipulation and Settlement Agreement, subject to Court approval. The Stipulation and Settlement Agreement provides for a comprehensive settlement in the total amount of up to approximately $2.3 million, including interest and payroll taxes. The total settlement amount includes an unfunded obligation to pay the plaintiffs (the “Payout Fund”) up to a total of approximately $1.6 million, payable on a claims made basis.

At a Court hearing held on August 16, 2005, the fairness of the terms of the Stipulation and Settlement Agreement was approved.

Further, the Stipulation and Settlement Agreement provides that claims to obtain a portion of the Payout Fund or objections to the settlement terms must be mailed by plaintiffs to the claims administrator within a specified time.

The time for 99% of the plaintiffs to reply to the claims administrator has expired. Timely postmarked claims from plaintiffs were received in the mail by the claims administrator for a total of approximately $1.1 million. The balance of the $1.6 million Payout Fund has not been claimed, provided, however, that the time for other plaintiffs entitled to up to $2,241 from the Payout Fund to reply to the claims administrator has not yet expired. Except for the $2,241 that remains open, the unclaimed balance of the Payout Fund has been forfeited by the plaintiffs and will be retained by URI.

In addition, no objections to the settlement terms have been received by the claims administrator to date although the time for 1% of the plaintiffs to object has not yet expired.

Expense for the maximum settlement cost was recorded prior to the current fiscal year. However, in light of the Court’s approval and based on the plaintiffs’ filed claims against the Payout Fund, the Company determined that $0.5 million of expense, representing the unclaimed portion of the Payout Fund and payroll taxes thereon, would be reversed and taken into income with respect to the second fiscal quarter.

UNITED RETAIL GROUP RESCHEDULES EARNINGS RELEASE DATE

— Company to Report Earnings on Wednesday, August 17, 2005 —

Rochelle Park, New Jersey, August 10, 2005 - United Retail Group, Inc. (NASDAQ-NMS: "URGI") today announced that it will release its earnings for the second quarter of fiscal 2005 on Wednesday, August 17, 2005.

The earnings release date, previously scheduled for Tuesday, August 16, 2005, has been rescheduled so that the announcement will follow a Court hearing on August 16, 2005 to approve the settlement of the Stanford wage and hour class action in California Superior Court as reported in a recent SEC filing. The Company believes that the settlement will be an amount less than the related expense of $2.3 million that was recorded by the Company prior to the current fiscal year. The reduction in the amount of the settlement will be taken into income with respect to the second quarter of fiscal 2005.

On March 18, 2005, a subsidiary of the Company, United Retail Incorporated, and the named plaintiffs entered into a Stipulation and Settlement Agreement, subject to Court approval. The expense for the maximum settlement cost was recorded prior to the current fiscal year. In the event that the Court approves the fairness of the terms of the Settlement Agreement, and based on the response of the plaintiffs to the notice that they received, the Company believes that $0.4 million to $0.5 million of the recorded expense will be reversed and taken into income with respect to the second quarter of fiscal 2005.

UNITED RETAIL GROUP ANNOUNCES SECOND QUARTER RESULTS

— Net Sales Increase 13% —
— Company Posts Net Income of $4.1 million —

Rochelle Park, New Jersey, August 17, 2005 - United Retail Group, Inc. (NASDAQ-NMS: "URGI") today announced operating results for the second quarter and first half of fiscal 2005, ended July 30, 2005.

For the second quarter, net sales increased 13% to $114.7 from $101.3 million in the prior year period. Comparable store sales increased 15% for the fiscal quarter.

Net income for the second quarter was $4.1 million, or $0.31 per diluted share, compared with a net loss of $1.6 million, or a loss of $0.12 per share, in the second quarter of 2004.

For the first half of the fiscal year, net sales increased 11% to $221.2 million from $198.8 million in the prior year period. Comparable store sales increased 13% for the first half of the fiscal year.

Net income for the first half of the fiscal year was $5.1 million, or $0.39 per diluted share, compared with a net loss of $4.9 million, or a loss of $0.38 per share, in the prior year period.

Raphael Benaroya, the Company’s Chairman of the Board, President and Chief Executive Officer, stated: “I believe that our improved financial results reflect a fundamental change in the business. The product, assortment composition, brand marketing and display have been the focus of our repositioning strategy. As these changes were taking hold, the customer responded more and more favorably. We will continue to focus our energy on strengthening the product line to differentiate the AVENUE® brand and generate continued positive momentum.”

George R. Remeta, the Company’s Vice Chairman and Chief Administrative Officer, stated, “We are quite pleased that during the quarter we experienced very strong full price selling and exceeded our sales plan for the quarter. This resulted in a dramatic decline in clearance inventory levels at the end of the quarter and a corresponding 11% decline in total inventory levels versus last year on a cost per square foot basis.”

Net income for the second quarter includes certain offsetting special items. First, in the Stanford wage and hour class action in California, the Court approved the fairness of the terms of the settlement agreement, which led to a $0.5 million partial reversal of expense that was accrued in prior years for the anticipated settlement costs. Separately, $0.5 million of non-cash expense was incurred as a result of an increase in the market value of the Company stock held in the Company’s Supplemental Retirement Savings Plan (“SRSP”). It is important to note that recent changes to the SRSP will eliminate this unfavorable accounting treatment in the future.
