Item 4.01 Changes in Registrant's Certifying Accountant.

(a) Dismissal of Independent Registered Public Accounting Firm.

On November 2, 2005, Belden & Blake Corporation (the "Company") dismissed Ernst & Young LLP ("Ernst & Young") as the independent registered public accounting firm for the Company. The Company’s full Board of Directors, also functioning as the Company’s Audit Committee, approved the dismissal of Ernst & Young.

Ernst & Young’s reports on the financial statements of the Company for the two most recent fiscal years ended December 31, 2004 and 2003 contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle.

During the Company’s two most recent fiscal years ended December 31, 2004 and 2003 and through November 2, 2005, there were no disagreements with Ernst & Young on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreement(s), if not resolved to the satisfaction of Ernst & Young, would have caused Ernst & Young to make reference to the subject matter of the disagreement(s) in Ernst & Young’s reports on the financial statements for such periods.

During the Company’s two most recent fiscal years ended December 31, 2004 and 2003 and through November 2, 2005, there have been no "reportable events," as defined in Item 304(a)(1)(v) of Regulation S-K.

The Company has provided a copy of this Current Report on Form 8-K to Ernst & Young and requested a letter from Ernst & Young stating whether Ernst & Young agrees with the above disclosure made in this Item 4.01(a)and, if not, stating the respects in which it does not agree. A copy of Ernst & Young’s letter to the Company is filed as Exhibit 16.1 hereto.

(b) Engagement of New Independent Registered Public Accounting Firm.

Effective November 2, 2005, the Company’s Board of Directors, also functioning as the Company’s Audit Committee, appointed Deloitte & Touche LLP ("Deloitte & Touche") as the Company’s independent registered public accounting firm. Deloitte & Touche was not consulted by the Company or anyone acting on its behalf on any matter described in Item 304(a)(2) of Regulation S-K during the years ended December 31, 2004 and 2003, or through November 2, 2005 (the date Deloitte & Touche was engaged).
