Item 7.01 Regulation FD Disclosure.

On October 12, 2005, Belden & Blake Corporation announced the expiration of its previously announced tender offer to purchase for cash any and all of its outstanding 8.75% Senior Secured Notes due 2012 in the aggregate principal amount of $192,500,000 (the "Securities"). During the offering period, zero principal amount of the Securities were validly tendered. The news release announcing the expiration of the tender offer is attached to this Form 8-K as Exhibit 99.1.
