Item 7.01 Regulation FD Disclosure.

On August 26, 2005, Belden & Blake Corporation commenced a tender offer to purchase for cash any and all of its outstanding 8.75% Senior Secured Notes due 2012 in the aggregate principal amount of $192,500,000. The press release announcing commencement of the tender offer is attached to this Form 8-K as Exhibit 99.1.
