Belden & Blake Corporation (Belden) is unable to file its Annual Report on Form 10-K for the period ended December 31, 2005 by March 31, 2006 due to difficulties in completing its financial statements, without unreasonable effort or expense. Belden was required to restate its 2004 and 2005 financial statements primarily due to errors in hedge accounting. As a result of the restatements, Belden requires additional time to complete its annual report. Belden intends to file its Form 10-K no later than fifteen calendar days following the prescribed due date.
