Item 8.01. Other Events.

On March 1, 2010, Education Management LLC (the “Company”), an indirect subsidiary of Education Management Corporation, announced that it commenced a cash tender offer (the “Tender Offer”) for any and all of of its outstanding 10 ¼% Senior Subordinated Notes due 2016.  A copy of the Company’s press release announcing the Tender Offer is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
