State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
As previously disclosed, on August 22, 2006, the Board of Directors of Insurance Auto Auctions, Inc. (the “Registrant”), with the approval of the audit committee of the board, dismissed KPMG LLP as the Registrant’s independent registered public accounting firm. The Registrant has engaged Deloitte & Touche LLP (“Deloitte”) as its new independent registered public accounting firm. Deloitte is still in the process of reviewing the Registrant’s financial information to be included in its Quarterly Report on Form 10-Q for the period ended September 24, 2006 (the “Form 10-Q”). As a result, the Registrant was unable to complete the Form 10-Q by November 8, 2006, which was the required filing date for the report, without unreasonable effort and expense. The Registrant is committed to working with Deloitte to complete its quarterly review process as soon as practicable.
