Item 8.01.  Other Events
 
On December 22, 2010, Applied Energetics, Inc. (the “Company) engaged Mark Lister, a director of the Company, to perform consulting services for a period through March 3, 2011 to assist the Company with its strategic plans.  Mr. Lister agreed to relocate to Tucson, Arizona during this period and the Company agreed to pay to Mr. Lister a consulting fee of $3,000 per day, not to exceed an aggregate of $100,000 and to reimburse Mr. Lister for reasonable and out-of-pocket expenses incurred during the period of service.
