Trinidad and Tobago: Start-up of production

from Phase 2 of the Greater Angostura gas field

 

Paris, May 11, 2011 - Total (30%) and partners BHP Billiton (45%, operator) and Chaoyang (25%) announce the start-up of the Phase 2 gas development of the Greater Angostura field with a design capacity of 280 million cubic feet of gas per day (7.9 million cubic metres per day).

 

The Greater Angostura field includes oil and gas discoveries at Aripo, Kairi and Canteen. It is situated in the Block 2(c) approximately 40 kilometres off the northeastern coast of Trinidad, in 40 metres water depth.

 

The first development phase, which started in January 2005, produces oil from Kairi and Canteen with the associated gas re-injected. The second phase consists in producing the gas principally from Aripo. A new gas production platform has been installed alongside the existing oil facilities. The project was delivered on schedule and within budget.

 

The National Gas Company of Trinidad and Tobago Limited (NGC) will take delivery of the gas.

Paris, May 12, 2011 - Total announces that the exploration well AQI-X1001 drilled by its subsidiary Total E&P Bolivie (“TEPBo”) has encountered gas and condensate on the Aquio block. This well confirms the northern extension of the Incahuasi structure, discovered in 2004 by the exploration well ICS-X1 in the adjacent Ipati block.

 

The presence of hydrocarbons has been confirmed by a test over a limited section of the formation, which has produced gas and condensate at initial rates of over 500,000 cubic metres per day and 500 barrels per day respectively. Hydrocarbons discovered in the Aquio and Ipati blocks are contained in fractured sandstones reservoirs of Devonian age. TEPBo has submitted for its approval by the Bolivian Authorities a Declaration of Commerciality related to both blocks.

 

TEPBo is the Operator of the Aquio and Ipati blocks with an 80% participating interest, in association with Tecpetrol de Bolivia (20%). In accordance with an agreement entered into in 2010 but which remains subject to the approval of the Bolivian Authorities, TEPBo will assign to Gazprom a 20% participating interest in both blocks.

 

Total Exploration and Production in Bolivia

 

Present in Bolivia since 1996, TEPBo also owns a 15% participating interest in the San Alberto and San Antonio producing blocks which mainly supply natural gas to Brazil as well as a 41% participating interests in the Itaú field, which was put on stream earlier this year to supply gas to Argentina.

 

In 2008, TEPBo, Gazprom and the national company Yacimentos Petroliferos Fiscales Bolivianos (YPFB) signed a Cooperation Agreement to explore the 7,856 square kilometres Azero block, neighbouring the Aquio and Ipati blocks, within the framework of a joint venture company in which TEPBo and Gazprom will own equal stakes.

Poland: Total farms into Chelm and Werbkowice concessions

with a 49% interest to appraise the region’s shale gas potential

 

Paris, May 13, 2011 - Total today announced an agreement with ExxonMobil to farm into the Chelm and Werbkowice exploration concessions with a 49% interest, subject to the approval of the Polish authorities.

 

Under the terms of the agreement, ExxonMobil and Total will form a partnership operated by ExxonMobil, which retains a 51% interest.

 

The entry into these concessions reflects Total’s commitment to expanding activities in unconventional gas, notably in Europe, a growth segment of the Group.

 

Awarded for a period of five years from March 2009 and December 2008 respectively, the Chelm and Werbkowice exploration concessions are located in the Lublin Basin in southeastern Poland and cover 1,162 square kilometres and 995 square kilometres. The work program for each concession comprises acquisition of seismic data, drilling of an exploratory well and a production test if drilling results are encouraging.

 

To date ExxonMobil has already performed seismic acquisition works, as well as the drilling of an exploratory well on the Chelm concession currently being evaluated.

Ordinary and Extraordinary Shareholders’ Meeting of May 13, 2011

Approval of all resolutions proposed by the Board of Directors

Dividend of €2.28/share

 

The Annual Shareholders’ Meeting of Total was held on May 13, 2011 under the chairmanship of Christophe de Margerie. Shareholders approved all resolutions recommended by the Board of Directors, including:

 

•        Approval of the accounts for financial year 2010 and the distribution of a cash dividend for 2010 of 2.28 euros per share, stable compared to the previous year. Taking into account the interim dividend of €1.14 per share paid on November 17, 2010, the remaining balance of €1.14 per share will be paid on May 26, 20111.

 

•        Renewal as Directors for three-year terms of Ms. Patricia Barbizet and Mr. Paul Desmarais Jr. and Mr. Claude Mandil.

 

•        Appointment of Ms. Marie-Christine Coisne and Ms. Barbara Kux as Directors for three-year terms.

 

•        A financial authorization conferred to the Board of Directors.

The Shareholders’ Meeting was also an opportunity for Christophe de Margerie, Chairman and CEO, to report to shareholders on the current economic environment, the activities of the Board of Directors, corporate governance and the 2010 performance of the Group as well as the outlook.

  

 

1          The ex-dividend date for the remainder of the 2010 dividend will be May 23, 2011; for the ADR (NYSE :TOT) the ex-dividend date is May 18, 2011.

After describing the geopolitical and environmental events marking the energy industry since the start of 2010, Christophe de Margerie, on behalf of shareholders, thanked Total’s employees who used all means necessary to ensure the safety of the staff and their families, as well as to protect the integrity of the Group’s assets, in the countries affected by these events. He then explained the primary functions of the Board of Directors and their Committees, insisting particularly on the involvement of the directors in risk management and major project evaluation. The example of the Joslyn mining project in the Canadian oil sands was used to illustrate the sum of studies done before investment decisions are made and the Group’s commitment to reducing the environmental footprint of its projects.

 

Concerning the changes in corporate governance, Christophe de Margerie stressed the importance that Total puts on the diversity and complementary skills of the Board of Directors. On the subject of his compensation, he presented the performance criteria that are in effect. Regarding the policy of attributing restricted shares and stock options, he pointed out that the Group’s objective is to be able to reward individual performance while aligning the interests of management and the employees with those of the shareholders.

 

Christophe de Margerie also presented the key figures for 2010, showing the value created by Total for all of its stakeholders.

 

Chief Financial Officer Patrick de La Chevardière presented the main 2010 results and highlights from 2010 and early 2011. Adjusted net income was 10.3 billion euros in 2010, a 32% increase compared to 2009, and 3.1 billion euros in the first quarter 2011, a 35% increase compared to the first quarter 2010.

 

Patrick de la Chevardière highlighted the evolution of the Group’s profile since the beginning of 2010, illustrated by the dynamic asset management, the launch of major projects and the renewal of exploration acreage in the Upstream, as well as by major changes in Downstream-Chemicals.

 

Thanks notably to new partnership agreements signed since mid-2010 in Canada, Australia, Russia and Uganda, plus an increase in the exploration budget, the outlook for the future development of the Group has been strengthened, as detailed by Christophe de Margerie in the last part of his presentation.

 

While presenting an overview of 2011-2012, Chairman and CEO Christophe de Margerie insisted on the importance of corporate responsibility and the progress that has been made in this area, particularly in terms of safety, reducing the environmental footprint and diversity.

 

Christophe de Margerie detailed the major projects that will sustain production growth in the years to come. He also indicated his commitment to strengthen the competitiveness of Downstream-Chemicals and to pursue the development of new energies, like the recent friendly offer made by the Group for the U.S. company SunPower in the solar energy sector.


  

The level of organic investment is expected to increase to approximately 14 billion euros2 ($20 billion) in 2011. In addition, within the framework of its dynamic portfolio management, the Group has already announced approximately 7 billion euros of acquisitions. Announced asset sales, including in particular the interest in Cepsa, should compensate for the amount of acquisitions and allow the Group to maintain a very solid balance sheet.

 

Christophe de Margerie concluded by thanking the nearly 4,000 shareholders present for their loyalty and confidence in the Group’s strategy. He reiterated his commitment to pursue profitable and sustainable growth, to promote innovation and corporate acceptability, and to supply the customers of Total with the energy they need.

Total Extends Cash Tender Offer to Acquire 60% of outstanding

shares of SunPower Class A and B common stock

 

Paris, May 24, 2011 - Total (CAC: TOTF.PA) announced that it has just filed its Form CO with the European Commission relating to its all-cash tender offer to purchase up to 60 percent of the outstanding shares of Class A common stock, and 60 percent of the outstanding shares of Class B common stock, of SunPower (Nasdaq: SPWRA, SPWRB) for $23.25 per share.

 

Total announced therefore an extension of its all-cash tender offer. The offering period, previously scheduled to expire on May 31, 2011, is now scheduled to expire at 12:00 midnight, New York City time, on June 14, 2011, consistent with the terms of the previously announced tender offer agreement with SunPower.

 

Computershare Trust Company, N.A., the depositary for the offer, has indicated that, as of 5:00 p.m., New York City time, on May 23, 2011, approximately 614,975 shares of Class A common stock and 284,774 shares of Class B common stock, which represent approximately 1.1% of the shares of Class A common stock and 0.7% of the shares of Class B common stock issued and outstanding as of April 27, 2011, had been validly tendered and not properly withdrawn in the Offer.

Qatar: Total Farms into Exploration Block BC with a 25% Interest

 

Doha & Paris, May 30, 2011 - Total announced that it has signed an agreement with CNOOC Middle East (Qatar) Limited, a wholly-owned subsidiary of CNOOC International Limited, to acquire a 25% interest in Qatar’s Block BC (pre-Khuff) exploration license. CNOOC Middle East (Qatar) Limited will continue to be the operator with a 75% interest.

 

Located 130 kilometers east of the Qatari coast, the offshore block covers an area of 5,649 square kilometers, with water depths ranging from 15 to 35 meters.

 

The Block BC Exploration and Production Sharing Agreement (EPSA), entered into with the Government of the State of Qatar, stipulates that 2D and 3D seismic surveys will be conducted and that at least three exploration wells will be drilled by 2014.

 

Commenting on Total’s participation in the Block BC EPSA, His Excellency Dr. Mohammed Bin Saleh AI-Sada, Qatar’s Minister of Energy and Industry said “We would like to welcome our long time partner, Total, into the Block BC EPSA, and we wish them and CNOOC all success with the exploration activities, which we believe are always enhanced when quality companies such as Total and CNOOC join efforts.”

Norway: Total sells to Silex Gas Norway AS its stake in Gassled,

the Norwegian gas transportation network

 

Paris, June 8, 2011 - Total announces the signing of an agreement with Silex Gas Norway AS, a wholly owned subsidiary of Allianz, to sell its entire stake in Gassled (6.4%) and related entities for a price of NOK 4.64 billion (approximately US$ 870 million). The transaction is subject to approval by the relevant authorities.

 

Gassled is a joint venture formed in 2003 to transport natural gas from fields on the Norwegian Continental Shelf to Continental Europe and the UK. Gassled’s infrastructure assets comprise approximately 7,980 kilometres of natural gas pipelines and associated platforms, processing plants and terminals in Norway, Belgium, France, Germany and the UK. Gassled derives its revenues from tariff payments from Shippers using the system, these tariffs being regulated by the Norwegian Ministry of Petroleum and Energy.

 

Ownership of Norwegian midstream gas transportation assets is no longer a core business, and so this sale constitutes part of the Group’s ongoing optimization of its portfolio” said Patrice de Vivies Senior Vice President Exploration & Production Northern Europe, “Total remains fully committed to its long term presence in the exploration and production of oil and gas in Norway”.

Norway: Total launches the Ekofisk South and Eldfisk II projects

 

Paris, June 9, 2011 - Total announces the launch of the Ekofisk South and Eldfisk II projects offshore in the southern Norwegian North Sea on Production Licence (PL) 018. Total holds a 39.90% interest in the licence.

 

The plan for development and operation for each project has been approved by the Norwegian authorities.

 

The Ekofisk South project will include a new platform (Ekofisk 2/4Z) and a new subsea facility (Ekofisk 2/4VB) at the Ekofisk complex. The platform will have a 40 years design life and a capacity of 70,000 barrels of oil equivalent (boe) per day. The new facilities will enable the drilling of 35 production and 8 water injection wells to further develop the Ekofisk field and increase oil recovery. Production start-up is expected early 2014.

 

The Eldfisk II project will include a new platform (Eldfisk 2/7S) at the Eldfisk complex and substantially upgrade the existing facilities on the Eldfisk field. The new platform will have 40 years design life and a capacity of 70,000 boe per day. It will provide accommodation, new process facilities, and will enable the drilling of 30 production and 9 water injection wells to further develop the Eldfisk field and increase oil recovery. Production start-up is expected in 2015.

 

These two projects will enable the development of around 450 million barrels of oil equivalent of reserves.

The Ekofisk and Eldfisk fields were discovered in 1969 and 1970. First production was achieved from the Ekofisk field in 1971 and Eldfisk came on stream in 1979. The two fields produced around 260,000 boe per day on average in 2010.

 

PL 018 partners are Total (39.90%), ConocoPhillips (35.11% and Operator), ENI (12.39%), Statoil (7.60%) and Petoro (5.00%).

Success of Friendly Tender Offer - Preliminary Results

PARIS and SAN JOSE, Calif., June 15, 2011 – Total (CAC: TOTF.PA) and SunPower Corp. (NASDAQ: SPWRA, SPWRB) today announced the success of Total’s all-cash tender on SunPower to create a new global leader in the solar industry.

Total has accepted for payment 30,220,701 shares of Class A common stock and 25,220,000 shares of Class B common stock at a purchase price of $23.25 per share for a total cost of approximately $1.3 billion. Adjustments will have to be made after the expiration of the guaranteed delivery period on June 17, 2011.

Transaction details

Based on the preliminary count by Computershare Trust Company, N.A., the depositary for the offer, 30,220,701 shares (approximately 52.2 percent) of Class A common stock and 31,208,640 shares (approximately 74.2 percent) of Class B common stock were validly tendered and not properly withdrawn. In addition, 16,964,440 shares (approximately 29.3 percent) of Class A common stock and 16,690,665 shares (approximately 39.7 percent) of Class B common stock were tendered pursuant to guaranteed delivery procedures, which permit shares to be delivered by the holder to the depositary by the expiration of the guaranteed delivery period on June 17, 2011. The tender offer expired at 12:00 midnight, New York City time, on Tuesday, June 14, 2011.*

 

* Shareholders tendering through guaranteed delivery procedures may have also tendered the same shares through the regular tender procedures. This is the reason why preliminary results reflect more than 100 percent of Class B common stock have been tendered.


Accordingly, Total has accepted for payment 30,220,701 shares of Class A common stock and 25,220,000 shares of Class B common stock at a purchase price of $23.25 per share for a total cost of approximately $1.3 billion. If the actual number of shares of Class A common stock validly tendered and not withdrawn after the expiration of the guaranteed delivery period exceeds 34,144,400, then Total intends to exercise its right to purchase additional shares at a price of $23.25 per share, up to a maximum of 60 percent of the shares of SunPower’s Class A common stock outstanding at the close of business on June 13, 2011.

The tender with respect to SunPower’s Class B common stock is subject to proration, as more than 60 percent of SunPower’s Class B common stock was tendered. The tender with respect to SunPower’s Class A common stock will be subject to proration only if the actual number of shares of Class A common stock validly tendered and not withdrawn after the expiration of the guaranteed delivery period exceeds 60 percent of SunPower’s Class A common stock at the close of business on June 13, 2011. Based upon the preliminary count, and assuming no shares tendered pursuant to guaranteed delivery procedures are properly delivered, there will be no proration factor for the Class A common stock and the proration factor will be approximately 80.8 percent for the Class B common stock. Assuming all shares tendered pursuant to guaranteed delivery procedures are properly delivered, the proration factor will be approximately 73.6 percent for the Class A common stock and 52.7 percent for the Class B common stock.

The number of shares tendered and not properly withdrawn and the proration factors are preliminary and are subject to verification by Computershare Trust Company, N.A., the depositary for the tender offer and the proper delivery of all shares tendered (including shares currently tendered pursuant to guaranteed delivery procedures). The actual number of shares validly tendered and not properly withdrawn and the final proration factor will be announced promptly following completion of the verification process. Promptly after such announcement, the depositary will issue payment for the shares validly tendered and accepted for purchase under the tender offer and will return all other tendered shares.
