TotalFinaElf to Support Economic Activity in Toulouse

Paris, April 11, 2002 — Studies and discussions carried out in recent months have led Grande Paroisse, a subsidiary of Atofina, TotalFinaElf’s Chemicals Division, to conclude that it will not be possible to restart its Toulouse plant.

TotalFinaElf, along with Grande Paroisse and Atofina, is committed to developing an active policy to support the Toulouse economy and will contribute, in cooperation with local partners, to development investments for the creation of new jobs.

The programs will focus on four critical areas:

•    The support of AZF subcontractors affected by the plant’s closure.

•    Special assistance to small and medium-sized manufacturers, within the framework of an agreement with the
     Toulouse Chamber of Commerce and Industry.

•    Aid in establishing a European Industrial Safety Institute, in association with the University of Toulouse and
     private and institutional partners. This independent institute would be involved in the areas of research,
     university courses, professional training, and consulting and auditing services.

•    The promotion of a “Biotechnology Park” bringing together companies active in new chemical and
     pharmaceutical technologies.

The catastrophe last September 21 dramatically highlighted the problems of the coexistence of industrial activities and neighboring urban populations.

For this reason, Toulouse, with its high-potential university and research community and its commitment to encouraging high-technology enterprises, enjoys the necessary scientific credibility to host the European Industrial Safety Institute and a Biotechnology Park. TotalFinaElf would give its support to their creation and development.

These actions would be a major contribution to job creation and support in the region, bolstering the economic development and corporate assistance programs to be implemented under future agreements, in particular with the Chamber of Commerce and Industry.

Industrial Safety Institute

A review of existing organizations in France and abroad shows that an entity capable of federating fragmented research efforts and offering professional training would make a high value added contribution to industrial safety across Europe. The institute would become a technical and scientific reference point and have the necessary independence to provide industrial safety auditing and consulting services.

Created as a consortium, the institute would be supported by the University of Toulouse and include partners from the public and private sectors.

TotalFinaElf would bring together the people required to launch the process, in particular by setting up a Steering Committee. It would then contribute material resources to build the facilities and help launch the project.

Biotechnology Park The Municipality of Toulouse, the Midi Pyrénées Regional Council and the Haute Garonne General Council have already begun projects and discussions on developing biotechnology-related businesses in Toulouse. With the support of biotech companies, TotalFinaElf is ready to participate in a major, forward-looking joint project that would create jobs. Preference would be given to companies conducting research or developing new approaches in chemical substitutes. The idea is to promote a Biotechnology Park whose main resource would be as a corporate incubator dedicated to entrepreneurs wanting to develop in this sector, and which would also offer accommodation and support logistics for fast growth. The project would be a medium to long-term undertaking of at least three to five years. A Steering Committee will define the exact parameters and make proposals to the different potential partners. Supporting Companies, AZF Subcontractors and Regional Development In addition, TotalFinaElf is committed to deploying an action plan in the region’s economic development and to safeguard jobs, in partnership with local public institutions and companies in the region. The plan would privilege support for AZF subcontractors affected by the closure. The Group’s policy of corporate support will include initiatives in the form of loans or subsidies (without acquiring an interest in the company concerned) to manufacturers, in particular those in the affected area. Eligible small and medium-sized companies will be identified by regional partners under agreements or by specialized consultants in the area concerned. The first agreement with the Chamber of Commerce and Industry, via the Haute Garonne Initiative platform, will be signed today; it outlines a framework for action and is accompanied by a donation of €460,000. All of these measures, to be implemented over a period of three to five years, are expected to help create or safeguard one thousand jobs. The action plan will be totally separate from the compensation process for affected companies. Since the catastrophe, Grande Paroisse, with the support of TotalFinaElf, has assumed and will continue to assume all liabilities concerning compensation for claims submitted by victims.

TotalFinaElf to sell its Fluorinated Telomers Business to DuPont

Paris, April 30, 2002 — Atofina, the Chemicals branch of the TotalFinaElf Group recently concluded an agreement in principle with DuPont for the sale of its Fluorinated Telomers business.

This activity entails the production and sale of specialty fluorochemicals marketed under the trade names Foraperle® and Forafac®.

These products are used to manufacture oil, grease and water repellents, as well as high performance surface protection solutions. Production is based at a plant within the Villers-St-Paul facilities in France.

This divestiture should strengthen the development prospects of an activity which offers few synergies with the chemical branch Atofina’s other activities, and in which its market share is a marginal one.

This decision is in line with Atofina’s ongoing strategy to refocus its portfolio of chemical activities.

The conclusion of this agreement is subject to the workers council information and consultation procedures, and to the approval of the relevant authorities.

Highlights of Chairman and CEO Thierry Desmarest’s Address

Paris – May 7, 2002 — At the Annual Meeting of TotalFinaElf on May 7, 2002, Thierry Desmarest commented:

“The year 2001 was very important in the evolution of TotalFinaElf. The combination of Totalfina and Elf Aquitaine has delivered on its promises. Substantial synergies, productivity gains and production growth have enabled us to perform at very competitive levels, despite an economic situation and oil environment that declined sharply in the second half of 2001 (...)

Unfortunately, 2001 was also marred by the most serious industrial disaster in our history. On September 21, an explosion at the AZF Grande Paroisse plant in Toulouse, France, took a heavy human toll and seriously damaged property. The Group shown its solidarity with those affected and is committed to remedying the disastrous impact of the explosion, whose causes are still unknown at this time (...)

The net income excluding non-recurring items for 2001 amounted to 7.52 billion euros, down 2% compared to 2000, when the economic environment was much more favorable. Earnings per share excluding non-recurring items rose to a new record high of 10.85 euros, compared with 10.80 euros in 2000 ; substantial share buy-backs contributed to this improvement. Reported net income increased by 11% to 7.66 billion euros from 6.90 billion euros in 2000 (...)

TotalFinaElf is maintaining high investment level of 9.7 billion euros in 2002, with priority given to Upstream growth. Oil and gas production is expected to increase by 10% this year, led by the recent startup of four major projects (...)

The Group’s results in first quarter 2002 will be down significantly from the first quarter 2001, reflecting the fall in oil prices to $21 per barrel from $26, a sixfold decrease in refining margins, and record low petrochemical margins. In this more challenging environment, TotalFinaElf limited the decline in its net income excluding non-recurring items, expressed in dollars, to around 40%. In contrast, our main competitors reported an average slide of 55%. This performance was driven by a 7% increase in oil and gas production at a time when, on average, the other majors maintained production volumes virtually unchanged.

As a result of the share buy-backs in the past year, earnings per share excluding non-recurring items of the first quarter 2002 expressed in euros are expected to decline only by about one third (...)

TotalFinaElf May 7, 2002 Annual Meeting

Paris – May 7, 2002 — At the Combined General Meeting, held on May 7, 2002 under the Chairmanship of Thierry Desmarest, TotalFinaElf shareholders approved all the proposed resolutions. The 2001 accounts were approved, as was the payment of a dividend in cash of 3.80 euros per share for 2001, an increase of 15% from last year, to which a tax credit will be added in accordance with the regulations in force. The ex-dividend date for the shares will be May 17, 2002 and payment will occur from that date.

The approved resolutions included the following:

•   Authorization for the Board of Directors to purchase or sell shares of the Company, in accordance with the
    provisions of Article L. 225-209 of the French Code of Commerce,

•   Adoption of simplified by-laws that comply with France’s New Business Regulations law of May 15, 2001,

•   Renewal of the Board of Directors’ authorizations to increase the share capital,

•   Renewal of the Director’s term of following Directors for a period of three years:

–  John J. Goossens, Chairman and CEO, Belgacom,

–  Bertrand Jacquillat, Chairman and CEO, Associés en Finance,

•   Appointment for a three-year term of Paul Desmarais Jr., Chairman and Co-Chief Executive Officer,
    Power Corporation of Canada, following the resignation of Paul Desmarais Sr.

Following today’s Meeting, the number of TotalFinaElf Directors has been reduced to 18 from 20.

TotalFinaElf responds to false allegations about activities in Myanmar

Paris, May 8, 2002 — The Belgian and French media reported that an action may have been brought before the Brussels Court regarding the presence of TotalFinaElf in Myanmar (Burma).

TotalFinaElf has not been officially notified of a court action; therefore, the company cannot comment on the specifics of the claim nor the elements involved.

Nonetheless, in the face of false allegations reported in the press, TotalFinaElf reiterates the following two points.

First, it is unthinkable that a company like TotalFinaElf would resort to using forced labor. In Myanmar and elsewhere, TotalFinaElf only employs voluntary workers who are duly compensated. In addition, the company rigorously ensures that outside contractors adhere to the same international standards.

Second, TotalFinaElf absolutely denies having employed in Myanmar, either directly or indirectly, military personnel as a security force. Security for the installations and personnel is the responsibility of the host State, without compensation. TotalFinaElf has never given any remuneration or logistical support to the military in Myanmar.

Finally, the company reiterates that in each country where it is active, TotalFinaElf operates with complete respect to French, local, European and international laws and regulations.

Iran: Additional Production from Dorood Field Comes on Stream

Paris – May 13, 2002 — TotalFinaElf announces production from the additional oil development of the Dorood field offshore Iran’s Kharg Island, in the northern Persian Gulf. The Group is the operator of this project holding a 55% interest, in partnership with Eni. Under a “buy-back” contract signed with NIOC of Iran in March 1999, production of the field, which has been producing for around 30 years, will be increased by about 85,000 barrels per day in 2004.

Today, two offshore wells are on stream and are connected to processing facilities operated by NIOC on Kharg Island. The entire project is scheduled to be completed in early 2004 and includes the drilling of 29 wells, of which five are located offshore, as well as the construction of onshore facilities.

With the launch of the Dorood project, TotalFinaElf strengthens its position in the Middle East and more specifically in Iran. Present in all the countries in this region, TotalFinaElf is the second largest foreign oil and gas producer.
