Total’s Board of Directors prepares draft resolutions for
May 12, 2006 Annual Meeting of Shareholders
Paris, March 14, 2006 : The Board of Directors of Total, chaired by Thierry Desmarest, met on March 14, 2005. The following resolutions*, among others, will be proposed to the shareholders at the May 12, 2006 Annual Meeting in Paris :
  Approval of the consolidated accounts and parent company accounts for the year ended December 31, 2005.
 
  Proposal to pay a cash dividend for 2005 of 6.48 for each 10 nominal value share, with the remaining balance of 3.48 per share to be paid on May 18, 2006.
 
  Re-election as directors for three-year terms of Mrs. Anne Lauvergeon, and Messrs. Daniel Bouton, Bertrand Collomb, Antoine Jeancourt-Galignani, Michel Pebereau, and Pierre Vaillaud.
 
  Appointment as a director for a three-year term, of Christophe de Margerie, President of Exploration and Production for Total.
 
  Approval of the operations linked to the establishment of Arkema as a company independent of Total :
    The contribution by Total to Arkema of the Vinyl Products, Industrial Chemicals and Performance Polymers activities
 
    The allocation of the Arkema shares to the Total shareholders on the basis of one share of Arkema for every ten shares of Total with a 10 nominal value.
 
    The Arkema shares will be quoted on Eurolist by Euronext.
    The projected effective date for the spin-off is May 18, 2006. A draft prospectus describing the spin-off is being reviewed by the AMF and is expected to be available on the Total website in early April.
 
  Proposal to split each the Company’s 10 nominal value shares to create four shares with a nominal value of 2.5 each. The split would be effective May 18, 2006.
The Board has reviewed the estimated subscriptions to the capital increase in shares reserved for employees offered in February 2006. This subscription will allow the percentage of shares held by Company employees to increase from 3.3% to 3.75% and will generate proceeds of about 460 million euros.

President Exploration and Production
Christophe de Margerie is a graduate of the Ecole Supérieure de Commerce, Paris. Born in 1951, he joined Total’s finance division in 1974 initially in the budget department and then as finance manager for the exploration and production subsidiaries before being appointed Group Treasurer in 1987. In May of 1990 he joined Total’s Trading and Middle East division where he was, successively Finance Director, then Vice-President for the Middle East, then President, Middle East before becoming Senior Vice-President for that division in March 1992 at which time he was appointed a member of Total’s Management Committee.
In June 1995 he was appointed President of Exploration and Production for TotalFina, and in March 2000 after the merger with Elf, he was appointed Senior Vice-President of Exploration and Production. In January 2002, he became President of Exploration and Production for TotalFinaElf (which became Total on May 6, 2003). He has been a member of the Group’s Executive Committee since May 1999.

Michel Contie, born in 1947, is a graduate of ENSET of Toulouse and of the Ecole Nationale Supérieure des Pétroles et des Moteurs. He began his career with Total as an engineer in research and development in the area of deep offshore technologies. Following an assignment in the USA with Fluor Engineering in 1975-76, he held many operational and managerial posts for the Total Group throughout the world.
He was Managing Director of Total E&P Abu Dhabi in 1987 and then posted to Argentina as Managing Director of Total Austral in 1994. On his return to Paris in 1999, he became the Director of South America for E&P. In 2000, he became the Managing Director of the UK subsidiary Total Exploration & Production, Country Representative for the Group in the UK as well as President of the UK Oil Operators Association (UKOOA) in 2002.
 
A graduate of the Ecole Nationale Superieure des Techniques Avancées, Roland Festor joined Total in 1977. Following several assignments in Paris, Norway and the Netherlands as senior planning engineer, he has successively held the posts of Managing Director of Total E&P Angola, Total E&P Colombia and Vice President of Development studies at Total’s headquarters in Paris.

Roland Festor was appointed Managing Director of Total Exploration & Production Indonesie in Jakarta in 2001. He was the Group Country Representative in Indonesia and member of the Board of the Indonesian Petroleum Association.

Total Awarded New Offshore Exploration Block in Cameroon
Paris, March 15, 2006 — Total has been awarded, by the government of Cameroon, the Bomana exploration block in the offshore Rio Del Rey basin. Total will be the operator of this block with a 100% interest.
The 140-square-kilometre block is located near concessions operated by Total in Cameroon.
Total is the operator of the Rio Del Rey permit in Cameroon partnered with Pecten Cameroon and the Société Nationale des Hydrocarbures. The Group’s operated production in Cameroon is around 60,000 barrels of oil per day.
This acquisition is in line with Total’s strategy in Cameroon consisting of seeking opportunities to increase its present acreage, a strategy that began in April of 2005 when the group was awarded the Dissoni block.

Bangladesh: Entry into two offshore exploration permits
Paris, March 17, 2006 — Total announces the acquisition of a 60% interest in the exploration blocks 17 and 18, situated offshore southeast Bangladesh, from Tullow Bangladesh Ltd. (operator, 32%), Okland Bangladesh Ltd. (4%) and Rexwood Offshore Holdings Ltd. (4%). The purchase is presently undergoing approval by the Bangladesh government.
With a total surface area of near to 14,000 square kilometres, these blocks are located in water depths of approximately 20 metres. Seismic acquisition works are planned to start in 2006.
Total is already present in the refining and marketing sectors in Bangladesh, with activities in lubricants and liquefied petroleum gas. With this acquisition Total marks its entrance into country’s exploration and production sector confirming the Group’s aim to continue its development in Asia.

New Ultra Deepwater Discovery in the Republic of the Congo
Paris — March 21, 2006 — Total announces an oil discovery in the Mer Très Profonde Sud (MTPS) block, located around 180 kilometres southwest of Pointe Noire in the Republic of the Congo.
Drilled in 1,970 metres of water to a total depth of 3,370 metres, the Aurige Nord Marine 1 exploration well tested at 4,970 barrels of oil per day. The potential of the well is currently being assessed.
Awarded in May 1997, the MTPS block extends over more than 5,000 square kilometres, with water depths ranging from 1,300 to 3,000 metres. Total, through its subsidiary Total E&P Congo, is the operator with a 40% interest, alongside partners Eni (30%) and Esso Exploration and Production Congo (Mer Très Profonde Sud) Limited (30%).
Aurige Nord Marine 1 is the third oil find in the block, following Andromède Marine 1 in 2000 and Pégase Nord Marine 1 in 2004. These three discoveries may form the basis for a future development.
Total has a solid position in the Republic of the Congo, where it is the leading oil producer and biggest foreign investor. In 2005, the Group’s equity production in the country averaged 95,000 barrels per day.

Total Gabon: financial results for fiscal year 2005
Libreville, March 21st, 2006 — The Board of Directors of Total Gabon, chaired by Jean Privey, met on March 21st, 2006 and approved the final accounts for the year ended December 31, 2005.
Net income in 2005 was $316.8 million, compared to $241.5 million in 2004.
The oil production of the fields operated by Total Gabon amounted to 35.7 million barrels in 2005, representing a slight decrease versus the previous year. The Total Gabon share of the oil produced (including the tax oil reverting to the Republic as per the Profit sharing Contracts) amounted to 28.1 million barrels in 2005 compared to 29.5 million barrels for fiscal year 2004, representing roughly 29% of the national crude oil production in Gabon.
Revenues amounted to $1,140.9 million, representing an increase of $261.2 million as compared to fiscal year 2004 (+29.7 %). These higher sales resulted from the conjunction of lesser volumes sold and higher levels of the oil price for the crude oil commercialised by Total Gabon (which averaged $48.04 per barrel in 2005 compared to $34.28 per barrel in 2004). Operational costs have increased in 2005 by 12.6 % due to the continuation of strong drilling and development activities and the ongoing programme of large maintenance projects.
The capital expenditure related to oil operations for 2005 was $139.4 million compared to $157.8 million in 2004. It originated mainly from:
n   In the operated Mandji activity: important reservoir and development studies notably on the Anguille, Torpille and Gonelle fields, offshore drilling of two new wells on Gonelle (GNM18) and on Baudroie (BDMN12), work overs on Grondin (GRM26), Anguille (AGM52), Gonelle (GNM4 and GNM5) and Torpille (TRM16), gaslift compression of Gonelle and environmental projects with a view to reducing hydrocarbon effluents and to limiting carbon dioxide gas emission.
n   In the operated Rabi activity: on Atora, the continuation of the additional development project with the drilling of ATO8 well and the end of the debottlenecking project; on Coucal, the drilling of DICO6 and DICO7 wells.
n   In the non-operated activity: the achievement of the Rabi Kounga field work-programme (phase III) featuring 10 new development wells and the achievement of the gas compression scheme for re-injection.

The Board has decided to propose the distribution of a net dividend of $53.0 per share, or a total amount of $238.5 million to all shareholders at the Annual Shareholders’ Meeting, scheduled on June 8, 2006.
The dividend is payable in euros (or the equivalent in CFA francs), based on the exchange rate for the US dollar on the date of the Annual Shareholders’ Meeting, and will qualify in France for a tax credit of $0.14 per share, corresponding to the amount withheld at the source in Gabon.

Refining & Marketing Appointments
Paris — March 23, 2006 — Total announces the following Refining & Marketing appointments, effective April 3:
  Alain Grémillet is appointed Corporate Secretary.

Alain Grémillet, 59, joined Total in 1972. He held a variety of sales, research and marketing positions in Refining & Marketing before being appointed President of Totalgaz in 1993, then Vice President, Strategy for Refining & Marketing. In 2002, he was named Vice President, Specialties, a position he held until this latest appointment.
 
  Francis Jan succeeds Alain Grémillets as Vice President, Specialties.

Francis Jan, 50, joined Total in 1980. He held a variety of sales, supply chain and marketing positions in Refining & Marketing before being appointed Vice President, Retail Network in 1997, then Vice President, West Africa for Refining & Marketing in 2000. In 2002, he was named President of Totalgaz, a position he held until this latest appointment.

UK North Sea: Glenelg field starts up
Paris, March 29, 2006 — Total announces the start of production of the Glenelg gas and condensates field, located 240 kilometres east of Aberdeen in a water depth of about 100 metres.
The Glenelg development has been a technical challenge for Total. The Group managed to successfully drill a highly deviated well of 7300 metres in length from the Elgin platform. The well reached its target at a depth of 5600 metres below sea level in a very high temperature and high pressure reservoir (200 degrees Celsius and 1150 bars).
This well has a production potential of about 30,000 barrels of oil equivalent per day.
The production from Glenelg will be processed and exported through the existing Elgin-Franklin facilities and will contribute to extend their gas production plateau at a level of 15.5 million cubic metres per day (around 550 million cubic feet per day).
Total, operator with a 49.47% interest, is partnered in Glenelg with E.ON Ruhrgas (18.57%), BG International (14.7%), GDF (9.26%) and Eni (8%).
     The Glenelg success illustrates the willingness of the Group to deploy its technical expertise to valorise, through innovative projects, hydrocarbon reserves which were not developable up to now.

TOTAL SATISFIED BY THE ARBITRAL AWARD IN ITS DISPUTE WITH SCH CONCERNING CEPSA
April 3, 2006 — The Netherlands Arbitration Institute (NAI) delivered today its decision to both parties, Santander Central Hispano (SCH) and Total, in the arbitration.
Total acknowledges the work of the arbitrators appointed by the NAI in their analysis of this litigation and is satisfied with the principal decisions of the award:
- SCH’s failure to comply with its contractual and legal obligation to act in good faith;
- the return to Total of its 8.31 % interest in Cepsa currently held via Somaen Dos, a holding company in which SCH and Total are shareholders;
- the recognition of Total’s right to exercise its call option against SCH over 4.35 % of Cepsa at a price estimated today at below 5 euros per share;
The award rendered by the NAI will be supplemented in due course by a decision concerning notably the damages to be borne by SCH.
Total is very satisfied to be the shareholder of reference of Cepsa, the 2nd Spanish oil and gas company and plans to continue to support the development of this company.

Successful capital increase reserved for employees
  60,500 participants in 510 subsidiaries in 100 countries; 35,400 participants in France
 
  464 million invested, raising employee ownership to 3.75% of issued capital, for a market value of almost 5 billion
Paris — March 10, 2006 — Total regularly organizes capital increases, in a commitment to enabling employees to own a financial stake in their company’s performance and growth. Following similar operations in 2002 and 2004, a new capital increase was carried out from February 6 to 24, 2006. It involved 500 employee shareholder correspondents worldwide and more than 100 country correspondents.
The 60,500 participants purchased an average of 46 new Total shares for an average investment of 7,670*. As was the case in previous operations, in most countries employees could finance all or part of their purchases through salary advances with repayment spread over 24 months.
“The capital increase’s success,” said Jean-Jacques Guilbaud, Senior Vice President, Human Resources & Corporate Communications, “demonstrates the confidence of our employees in Total’s future and their commitment to our projects and strategic vision.”
Following the operation, employees remain one of Total’s largest shareholder groups, with 3.75% of issued capital (3.31% before the new capital increase). This corresponds to a market value of nearly 5 billion**.
* Based on a purchase price of 166.60 per share. The price was set by the Board of Directors on November 3, 2005. It corresponds to the average opening share price quoted on the Paris Bourse during the 20 trading days preceding the Board meeting, less a 20% discount.
