APPOINTMENTS
 

Paris, December 6, 2004 — Effective January 1, 2005, Yves-Marie Dalibard is appointed Vice President, Corporate Communications.

He replaces Michel Hourcard, who is appointed at the same date Vice President UAE-Qatar of Middle East Division in the Exploration and Production Division.

Yves-Marie Dalibard, 54, was Deputy Director, Corporate Communications and Advertising and Vice President, Quality at BNP Paribas. Prior to the merger of BNP and Paribas in May 2000, he was Vice President, Corporate Communications at Paribas, which he joined in 1998. He previously exercised management control, industrial marketing, customer relations and communications responsibilities as Media Relations Manager (1990) and Deputy Director, Corporate Communications (1996) at Electricité de France, and had been responsible for natural gas purchasing at Gaz de France. Yves-Marie Dalibard holds a postgraduate degree in economics and is a graduate of the Rennes Business School (IAE).

Michel Hourcard, 47, is a graduate of the Ecole Centrale Engineering School in Paris. He began his career in the Scientific Department at the French Atomic Energy Commission (CEA) in 1980. He joined Total in 1982 as a Drilling Engineer. In 1990, he was appointed Manager of the Drilling Laboratory and in 1994, was put in charge of Chemicals Subsidiary Operations in the Finance Division, before being appointed Vice President, Investor Relations in 1995. He was Vice President, Iran in TotalFinaElf’s Exploration and Production Division from 2000 to 2001. On December 1, 2001, Michel Hourcard was appointed Vice President, Corporate Communications.

Iran: Step forward for Pars LNG integrated project
 

Paris, December 7, 2004 — Total announces that it has concluded an agreement with the National Iranian Oil Company (NIOC) setting the framework of the future Pars Liquefied Natural Gas (LNG) project and its main commercial terms. In particular this agreement organizes the relationship between the Pars LNG, in charge of liquefaction activities, and block 11 of South Pars (SP11) attributed to Total (60%) and Petronas (40%) to supply the LNG plant. This agreement is pending approval by Iranian authorities.

The Pars LNG joint venture is a partnership between NIOC (50%), Total (30%) and Petronas (20%). The project is designed for an initial capacity of two trains of 5 million tons of LNG per year each.

This agreement allows the start of engineering studies for both the LNG plant and the SP11 development. These studies will be performed during 2005 and should lead to the decision to launch the project end of 2005 early 2006.

Total’s expertise in the field of LNG coupled with those of Petronas and NIOC will contribute to building a successful international project for the growing worldwide gas market.

PHOTOVOLTECH TO SIGNIFICANTLY
INCREASE PHOTOVOLTAIC CELL
PRODUCTION CAPACITY

Photovoltech, a photovoltaic cell manufacturer owned jointly by Total, Electrabel, Soltech and Imec⁽¹⁾, to increase production capacity from 13 MWp⁽²⁾ to close to 80 MWp

 
On December 16, 2004, Photovoltech’s Board of Directors approved a decision to increase the photovoltaic cell production capacity of the company’s plant in Tienen, Belgium, from 13 MWp to close to 80 MWp a year. When all permits are received, the new capacity will be commissioned by end-2005, with production gradually ramped up to full capacity in 2006. The expansion project will create close to 80 jobs.

This growth will consolidate Photovoltech’s position as a top-tier operator in the photovoltaic solar power industry in the European Union. The company will produce enough cells in a year to equip around 40,000 households, in response to strong growth in demand in the EU, especially Germany.

Photovoltech was created in December 2001 by Total (42.5%), Electrabel (42.5%, including the interest held by subsidiary Soltech) and Imec (15%).

Photovoltech holds an exclusive license to Imec technologies that offer significant advantages, notably in terms of cell efficiency and appearance. The project reflects the commitment of Total and Electrabel to this type of renewable energy, for which the outlook is very promising.

Total updates Block B contractual terms in Sudan
in view of possibly resuming operations once peace restored
 

Paris, December 21, 2004 — Since November 1980, Total, via its subsidiary Total E&P Soudan, operates with a 32.5% interest the 118,000-square-kilometer Block B in southeastern Sudan under a production sharing contract, alongside Marathon Petroleum Sudan Ltd (32.5%), Kufpec Sudan Ltd (25%) and state-owned Sudapet (10%).

Deteriorating security conditions in southern Sudan caused the Group to suspend field operations in 1985. The government of Sudan and Total began talks on resuming operations when negotiations between the government and the Sudan People’s Liberation Army (SPLA) led to the signature of preliminary agreements.

Within the framework of these talks, Total and its partners recently concluded an agreement with Sudanese authorities to update the 1980 production sharing contract to take account of new international industry standards, particularly in relation to corporate social responsibility.

Operations will not be resumed until peace and genuine, lasting security have been restored in the region.

Total’s commitment, in line with its Code of Conduct and corporate values, is to contribute, when circumstances permit, through its oil operations to the reconstruction of a country ravaged by two decades of civil war.

Please be advised that in connection with Total’s share repurchase program, TOTAL S.A. reacquired 6,050,000 of its ordinary shares, nominal value 10 euros per share, during the three month period ending December 31^th, 2004, through trades executed on the Paris Bourse. Further more, TOTAL S.A. cancelled 19,873,932 of its ordinary shares on November 20^th, 2004.

Before these operations, TOTAL S.A. held 27,842,999 shares in treasury. In addition, at December 31^th, 2004, 25,082,817 shares were held by various subsidiaries. As a result, Total held an aggregate of 39,101,884 of its ordinary shares at such date.
