ITEM 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 19, 2024, Tracie D. Youngblood, Senior Vice President and Chief Accounting Officer, informed Mid Penn Bancorp, Inc. (the “Company”) of her decision to resign from the Company, effective March 1, 2024 (the “Effective Date”). Ms. Youngblood will remain with the Company to assist in the orderly transition of her responsibilities through the Effective Date.

Ms. Youngblood’s departure is not the result of any disagreement with the Company on any matter related to the Company’s financial performance.
