ITEM 5.03    Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year

At a meeting held on January 24, 2024, the Board of Directors of Mid Penn Bancorp, Inc. (the "Company") approved two amendments to the Amended and Restated Bylaws of the Company (the "Bylaws"). The first amendment amends Article 10 of the Bylaws to set the mandatory retirement age at seventy-two (72), except in extraordinary circumstances. The second amendment clarifies the term limits for directors of the Company.
