At the Annual Meeting of Stockholders of Incyte Corporation (the “Company”), held on May 22, 2007, the Company’s stockholders approved an increase in the number of shares of common stock authorized for issuance under the Company’s 1991 Stock Plan (the “Plan”) by 3,000,000 shares, increasing the aggregate number of shares of the common stock authorized for issuance under the Plan from 22,350,000 shares to 25,350,000 shares.
