PART III -- NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof,  could not be filed within
the prescribed time period.

            During the fiscal year ended  December  31, 1995 (the "1995 Fiscal
Year") of the  Barefoot  Grass Lawn  Service,  Inc.  Profit  Sharing Plan (the
"Plan"),  Barefoot Inc. and its  subsidiaries  (collectively,  the  "Company")
agreed with Bank One Trust  Company  N.A.,  the  Trustee of the Plan,  to give
participants in the Plan the option to direct the investment of their personal
contributions and their respective share of the Company's  contribution  among
alternative   investment  funds  established  as  part  of  the  overall  fund
administered by the Trustee under the Plan. Prior thereto,  the  contributions
made under the Plan were invested  under the direction of the Trustee.  Due to
the change in the manner in which  investment  alternatives are selected under
the Plan and the reconciliation of accounts required as a result thereof,  the
Company  is not in a position  to file the Annual  Report on Form 11-K for the
1995  Fiscal  Year (the  "1995  Form  11-K") on behalf of the Plan  within the
prescribed  time  period.  The 1995 Form  11-K will be filed on or before  the
fifteenth calendar day following the prescribed due date.
