Item 1.     Proxy Voting Record.

The registrant is a newly-formed closed-end investment company established for use in connection with a proposed merger of American Strategic Income Portfolio Inc., American Strategic Income Portfolio Inc. II, American Strategic Income Portfolio Inc. III and American Select Portfolio Inc. (collectively, the Funds) into First American Strategic Real Estate Portfolio Inc. (the REIT). Shareholders of the approving Funds who do not wish to receive REIT shares can elect to receive, instead, shares of the registrant. Because the proposed merger has not yet been submitted to shareholders for a vote, registrant held no securities during the period covered by this report. Accordingly, there are no proxy votes to report.
