The Fair Market Value of each Restricted Stock Unit is equal to the closing price of the Issuer's common stock as reported by The New York Stock Exchange, Inc. on the date of grant, which was $27.71.  The Restricted Stock Units vest one year from the anniversary of the date of grant.
