Article VII of the By-laws of Scientific-Atlanta (filed as Exhibit 3 to Scientific-Atlanta’s Quarterly Report on Form 10-Q for the fiscal quarter ended December 27, 2002) permits indemnification by Scientific-Atlanta of its officers and directors to the full extent authorized by the Georgia Business Corporation Code. In addition, Scientific-Atlanta has entered into indemnification agreements (forms of which are filed as Exhibits 10.19.1 and 10.19.2 to Scientific-Atlanta’s Annual Report on Form 10-Q for the fiscal year ended June 27, 2003) with each of its directors and certain of its officers that provide these directors and officers with the indemnification by the Company described above and assure these directors and officers that such indemnification will continue to be provided despite future changes in the By-laws of the Company.
