Item 5.02.                                          Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On October 12, 2005, the Board of Directors of Sepracor Inc. (the “Company”), upon the recommendation of the Nominating and Corporate Governance Committee, voted to elect Timothy Rink as a new Class II director, to serve until his successor is elected and qualified.  There are no transactions, or series of similar transactions, or any currently proposed transactions, or series of similar transactions, to which the Company is to be a party, in which the amount involved exceeds $60,000, and in which Mr. Rink had, or will have, a direct or indirect material interest.
