On July 30, 2019, we announced our results of operations and financial position as of and for the second quarter ended June 29, 2019. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01.     Other Items.

On July 30, 2019, Zebra Technologies Corporation (the “Company”) issued a press release announcing that its Board of Directors has authorized a share repurchase program for up to an aggregate amount of $1 billion of its outstanding common stock. The new share repurchase program supersedes the Company’s prior share repurchase program, which was authorized in November 2011 and under which the Company had not repurchased any shares. Although the new share repurchase program does not have a stated expiration date, the Company announced that it currently expects to repurchase up to approximately 2% of the Company’s market capitalization every year. The level of the Company’s repurchases depends on a number of factors, including its financial condition, capital requirements, cash flows, results of operations, future business prospects and other factors its management may deem relevant. The timing, volume and nature of repurchases are subject to market conditions, applicable securities laws and other factors and may be amended, suspended or discontinued at any time. The press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
