(b) On June 16, 2009, Kenneth Heithoff, M.D. resigned as a director of SafeStitch Medical, Inc., a Delaware corporation (the “Company”).  Dr. Heithoff advised the Company that his resignation was solely for personal reasons and not because of any disagreement with the Company.
