Item 8.01. Other Events.

 

On March 21, 2005, Casino Guichard-Perrachon S.A. (“Groupe Casino”), the indirect majority shareholder in Smart & Final Inc. (the “Company”), announced that Pierre Bouchut has left his position as Chief Executive Officer of Groupe Casino effective immediately. Mr. Bouchut has also served as a director of the Company since 1994.

 

The Company anticipates that, according to its bylaws, the Governance Committee of the Board of Directors will meet to consider nominations for members of the Board of Directors, to be voted upon at the Annual Meeting of Shareholders currently scheduled for May 20, 2005.
