(k) PLAN:

The Company has adopted the Bion Technologies, Inc.

(k) Profit Sharing Plan and Trust (the

“401

(k) Plan”), a defined contribution retirement plan for the benefit of its employees. The

(k) Plan is currently a salary deferral only plan and at this time the Company does

not

match employee contributions. The

401

(k) is open to all employees over

21

years of age and

no

service requirement is necessary.
