Purpose of Amendment

     The purpose of this amendment is to amend and supplement Items 4, 6 and 8 in the Solicitation/Recommendation Statement on Schedule
14D-9 previously filed by PeopleSoft, Inc. (the “Company”) on June 12, 2003 and subsequently amended, and to add two additional exhibits to Item 9 and amend the exhibit index accordingly.

Item 4. The Solicitation or Recommendation

     Item 4 is hereby amended and supplemented as follows:

     On December 19, 2003, the Company issued a press release responding to Oracle’s announcement regarding its offer to purchase all outstanding shares of the Company. A copy of this press release is filed as exhibit (a)61 to this Schedule 14D-9 and is incorporated herein by this reference.

Item 8. Additional Information

Customer Assurance Program

     On January 11, 2004, the Company determined to extend the availability of the Customer Assurance Program until the earlier of the date that Oracle terminates its tender offer or March 31, 2004. The Customer Assurance Program terms available during the extension period previously were filed as exhibit (e)(10) to this Schedule 14D-9.

Stock Repurchase Program

     On January 12, 2004, the Company announced that its Board of Directors has authorized a stock repurchase program for up to $200 million of the Company’s common stock. The text of the press release announcing the repurchase program is attached as exhibit (a)(62) to this Schedule 14D-9 and is incorporated herein by this reference.

Peoplesoft Comments On Oracle’s Unsolicited Tender Offer Results

Approximately 3 Percent of Outstanding Shares Tendered

PLEASANTON, Calif. — December 19, 2003 — PeopleSoft, Inc. (Nasdaq: PSFT) today commented on Oracle Corporation’s (Nasdaq: ORCL) announcement that 12,395,576 PeopleSoft shares, or approximately 3 percent of PeopleSoft’s outstanding shares, were tendered into Oracle’s unsolicited tender offer:

    The continued underwhelming response to Oracle’s unsolicited tender offer is consistent with the PeopleSoft Board of Directors’ conclusion that Oracle’s offer is not in the best interests of PeopleSoft stockholders. PeopleSoft’s Board believes that Oracle’s offer significantly undervalues the Company by any objective valuation measure and faces serious antitrust concerns, including ongoing Department of Justice and European Commission investigations.

PeopleSoft’s Board has unanimously recommended that stockholders reject Oracle’s unsolicited offer.
