(b) On April 8, 2004, the Company reported that Carl W. Womack, the Company’s Senior Vice President and Chief Financial Officer, planned to retire later this year. Mr. Womack retired today, October 1, 2004. The Company is continuing to conduct a search for Mr. Womack’s successor.
