Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On June 7, 2007, Pacific Sunwear of California, Inc. (the “Company”) determined that it would eliminate the position of Chief Operating Officer of the Company as part of certain organizational changes. Wendy Burden held the position of Chief Operating Officer at the time of the change and, as a result of the change, Ms. Burden left the Company to pursue other interests. Ms. Burden’s last day of employment with the Company was June 8, 2007.
Item 7.01 Regulation FD Disclosure.
     On June 11, 2007, the Company issued a press release announcing certain organizational changes, including the elimination of the position of Chief Operating Officer. A copy of the Company’s press release is furnished with this Form 8-K and attached hereto as Exhibit 99.1. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.
