Item 7.01 Regulation FD Disclosure.

On September 22, 2011, The Hartford Financial Services Group, Inc. ("The Hartford") applied to the Federal Reserve Bank of Atlanta to be released from registration as a savings and loan holding company in connection with The Hartford's sale of its wholly owned savings and loan holding company, Federal Trust Corporation, and its subsidiary savings association, Federal Trust Bank. The sale of Federal Trust Corporation and Federal Trust Bank to CenterState Banks, Inc. was consummated on November 1, 2011.

On February 1, 2012, The Hartford announced that, effective January 26, 2012, the Federal Reserve Bank of Boston released The Hartford from registration as a savings and loan holding company pursuant to Section 10(b)(6) of the Home Owners' Loan Act, as amended.





The information furnished pursuant to this Item 7.01 shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act.
