Item 2.02 Results of Operations and Financial Condition.

On February 27, 2023, The AES Corporation (“AES” or the “Company”) issued a press release announcing its financial results for the quarter and year ended December 31, 2022. A copy of the press release is being furnished as Exhibit 99.1 attached hereto and is incorporated by reference herein. Such information is furnished pursuant to Item 2.02 and shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section. The information in this Current Report on Form 8-K shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act regardless of any general incorporation language in such filing.

Item 7.01 Regulation FD Disclosure.

On February 27, 2023, AES issued a press release announcing its financial results for the quarter ended December 31, 2022, its most recent guidance and provided additional forward-looking information. A copy of the press release is being furnished as Exhibit 99.1 attached hereto and is incorporated by reference herein. 

AES announces the intention to establish a commercial paper program under which the Company may issue unsecured promissory notes (the “notes”) from time to time up to a maximum aggregate face amount of $750 million outstanding at any time. The revolving credit agreement, dated as of September 24, 2021 (as further amended on August 23, 2022, the “Credit Agreement”), by and among the Company, certain lenders and issuing banks from time to time party thereto and Citibank, N.A., as administrative agent, will be available to repay the notes, if necessary. The maturities of the notes may vary, but will not exceed 397 days from the date of issue. The notes will rank equal in right of payment with all other unsubordinated and unsecured senior indebtedness of the Company. The proceeds of the notes will be used for general corporate purposes. The notes will be sold on customary terms in the U.S. commercial paper market on a private placement basis.

The notes have not been and will not be registered under the Securities Act of 1933 or state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act of 1933 and applicable state securities laws.
