Item 2.06 Material Impairments.

On June 23, 2020, The AES Corporation (the “Company”) issued a press release announcing an agreement (the “OPGC Agreement”) to sell its entire interest in its equity method investment in Odisha Power Generation Corporation Limited (“OPGC”). Under the terms of the agreement, AES OPGC Holding and AES India Private Limited, wholly-owned subsidiaries of the Company, will sell their respective interests in OPGC to Adani Power Limited, subject to the rights of our partners in OPGC and other approvals.  In connection with the transaction, the Company has determined that an other than temporary impairment of the investment in OPGC, based on May 31, 2020 carrying values, of approximately $140 million is required under generally accepted accounting principles in the United States of America (“U.S. GAAP”). These amounts are primarily due to cumulative translation losses. Upon closing of the transaction, the Company will recognize an additional loss from disposal of approximately $20 million, resulting in total losses of approximately $160 million on a consolidated basis, which includes the recognition of cumulative translation losses. Neither the impairment charge nor the loss from disposal will impact the Company’s cash flows or cash balances and neither charge is expected to result in any material future cash expenditures.

On June 23, 2020, the Company issued a press release announcing the OPGC Agreement. The transaction does not affect the Company’s previously issued guidance and longer-term expectations.
