DEREGISTRATION OF SECURITIES
This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-8 (File No. 333-42383) (the “Registration Statement”) of Osteotech, Inc. (the “Company”), which was filed with the U.S. Securities and Exchange Commission (the “SEC”) on December 16, 1997. The Registration Statement registered 181,376 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), to be offered or sold pursuant to the Company’s 1991 Stock Option Plan, as amended (the “Plan”).
On November 16, 2010, pursuant to the terms of the Agreement and Plan of Merger, dated as of August 16, 2010, by and among the Company, Medtronic, Inc. (“Medtronic”), Medtronic Sofamor Danek, Inc. (“MSD”) and England Merger Corporation (“Merger Sub”), Merger Sub was merged with and into the Company with the Company continuing as the surviving corporation and wholly owned subsidiary of MSD and wholly owned indirect subsidiary of Medtronic (the “Merger”). As a result of the Merger, the Company’s Common Stock is being delisted from The NASDAQ Stock Market LLC and deregistered under the Securities Exchange Act of 1934, as amended, and no more shares of the Company’s Common Stock will be issued under the Plan.
In accordance with the undertaking of the Company set forth in the Registration Statement, the Company is filing this Post-Effective Amendment No. 1 to the Registration Statement to deregister all shares of the Company’s Common Stock that were registered pursuant to the Registration Statement that remain unissued as of the date hereof.
