Item 8.01 OTHER EVENTS.

On December 19, 2007, Ambac Financial Group, Inc. (“Ambac”) issued a press release announcing that Standard & Poor’s Ratings Services (“S&P”) had affirmed the triple-A insurance financial strength ratings for Ambac Assurance Corp. (“Ambac Assurance”). Ambac also announced that S&P changed its outlook for Ambac Assurance to negative from stable. A copy of the press release, filed as Exhibit 99.01 to this Current Report on Form 8-K and is incorporated by reference herein.

In addition, S&P had affirmed the double-A senior unsecured and issuer credit ratings for Ambac, but changed its outlook to negative from stable. Also, S&P had affirmed the A+ rating for Ambac’s outstanding subordinated hybrid security, but changed its outlook to negative from stable.
