OMNICARE COMPLETES SUBMISSION OF DOCUMENTS

AND DATA TO THE FTC

 

COVINGTON, Ky., April 4, 2005—Omnicare, Inc. (NYSE: OCR) today announced that on Friday, April 1, 2005, Omnicare completed the submission of the documents and data requested by the United States Federal Trade Commission (FTC) under its Request for Additional Information under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The requested documents and data relate to Omnicare’s tender offer for all of the outstanding shares of the common stock of NeighborCare, Inc. (NASDAQ: NCRX).

 

Under an agreement with the FTC, Omnicare will not seek to close the NeighborCare transaction for fifty-five days after submission of the requested documents and data, which, based upon Friday’s submission, is May 27, 2005.

 

Omnicare continues to work with the FTC in order to further expedite the agency’s review of the proposed transaction.

 

Dewey Ballantine LLP and Axinn, Veltrop & Harkrider LLP are acting as legal counsel to Omnicare and Lehman Brothers and Lazard are acting as financial advisors. Innisfree M&A Incorporated is acting as information agent for Omnicare’s offer.
