ITEM 8.01 OTHER EVENTS.

AnnTaylor Stores Corporation intends to keep its prospective cumulative three-year average for annual equity awards during fiscal years 2006-2008 to no more than one standard deviation above the current mean of the Standard & Poor’s Global Industry Classification Standards Peer Group pertinent to AnnTaylor (the Retailing Group), or 4.12%. For purposes of calculating the number of equity awards granted, awards of restricted stock will be treated as the equivalent of two option shares, and the number of shares of the Company’s common stock will be the amount outstanding at the end of each of the three fiscal years.
