Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2007, the stockholders of Jones Apparel Group, Inc. (the "Company") approved the Jones Apparel Group, Inc. 2007 Executive Annual Cash Incentive Plan (the "Plan") at the Company's annual meeting of stockholders. A summary of the material features of the Plan is included in the proxy statement for the annual meeting dated May 14, 2007 under "Item 4. Proposal to Approve 2007 Executive Annual Cash Incentive Plan," and a copy of the Plan is included in the proxy statement as Annex C thereto, both of which are incorporated herein by reference.
