Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Anthony F. Scarpa, who had informed Jones Apparel Group, Inc. on February 18, 2006 that he would retire from the Board of Directors effective as of the Company's Annual Meeting of Stockholders to be held May 23, 2006, has now agreed to stand for re-election. Mr. Scarpa and the other incumbent directors have been nominated by the Board of Directors for re-election at the Annual Meeting.
