Item 8.01  Other Events.

On May 20, 2005, Jones Apparel Group, Inc. announced the completion of an offer to exchange all of its outstanding 4.250% Senior Notes due 2009, 5.125% Senior Notes due 2014 and 6.125% Senior Notes due 2034 for a like principal amount of notes of the same series which have been registered under the Securities Act of 1933, as amended. The exchange offer was made in order to satisfy certain obligations of Jones and certain of its subsidiaries in registration rights agreements entered into in connection with the issuance of the notes.

A copy of the press release is attached as Exhibit 99.1 to this report.
