Item 8.01 Other Events.
On May 20, 2005, Jones Apparel Group, Inc. announced the completion of an offer to exchange all of its outstanding 4.250% Senior Notes due 2009, 5.125% Senior Notes due 2014 and 6.125% Senior Notes due 2034 for a like principal amount of notes of the same series which have been registered under the Securities Act of 1933, as amended. The exchange offer was made in order to satisfy certain obligations of Jones and certain of its subsidiaries in registration rights agreements entered into in connection with the issuance of the notes.

Jones Apparel Group, Inc. Announces Completion of Exchange Offer
New York, New York - May 20, 2005 - Jones Apparel Group, Inc. (NYSE: JNY) today announced the completion of an offer to exchange all of its outstanding 4.250% Senior Notes due 2009, 5.125% Senior Notes due 2014 and 6.125% Senior Notes due 2034 for a like principal amount of notes of the same series which have been registered under the Securities Act of 1933, as amended. The exchange offer was made in order to satisfy certain obligations of the Company and certain of its subsidiaries in registration rights agreements entered into in connection with the issuance of the notes.
The exchange offer expired at 5:00 p.m., New York City time, on May 19, 2005. As of the expiration, $250 million aggregate principal amount of the 4.250% Senior Notes due 2009, $250 million aggregate principal amount of the 5.125% Senior Notes due 2014 and $250 million aggregate principal amount of the 6.125% Senior Notes due 2034 were validly tendered for exchange and accepted.
