7.   Subsequent Events:

The General Partner evaluates events that occur after the balance sheet date but before and up until financial statements are issued. The General Partner has assessed the subsequent events through the date the financial statements were issued and has determined, other than disclosed below, there were no subsequent events requiring adjustment to or disclosure in the financial statements.

Effective July 1, 2020, the ongoing placement agent fee paid by the Partnership to Morgan Stanley Wealth Management was reduced for all Limited Partners from an annual rate of 2.00% to annual rate of 1.00% of the adjusted net assets (computed monthly by multiplying the adjusted net assets by 1.00% and dividing the result thereof by 12).

Effective July 1, 2020, the administrative and general partner fee paid by the Partnership to the General Partner was reduced for all Limited Partners from an annual rate of 2.00% to an annual rate of 1.75% of the Partnership’s adjusted net assets (as defined in the Partnership’s Limited Partnership Agreement).
