Item 1.02 Termination of a Material Definitive Agreement

Effective December 31, 2017, Ceres Managed Futures LLC, the general partner of the Registrant (the “General Partner”), terminated the management agreement, dated as of June 1, 1998, as amended, among Rabar Market Research, Inc. (“Rabar”), the General Partner and the Registrant, pursuant to which Rabar traded a portion of the Registrant’s assets. Consequently, Rabar ceased all futures interest trading on behalf of the Registrant.

The General Partner has reallocated the assets formerly allocated to Rabar among the remaining trading advisors of the Registrant.
