Item 8.01 Other Events.

On June 3, 2008, Cephalon, Inc. (the “Company”) issued a press release announcing that the Company and its wholly-owned subsidiary CIMA LABS INC. have filed a lawsuit in U.S. District Court in Delaware against Watson Pharmaceuticals, Inc. and its wholly-owned subsidiary, Watson Laboratories, Inc., for infringement of U.S. Patent Nos. 6,200,604 and 6,974,590, which cover methods of use for FENTORA® (fentanyl buccal tablet) [C-II]. The Company hereby incorporates by reference the press release dated June 3, 2008, attached hereto as Exhibit 99.1, and made a part of this Item 8.01.
