Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics
In conducting a periodic review of the Company’s policies, the Company proposed an amendment and restatement of the Company’s Standards of Business Conduct (the “SBC”) in order to update the language and clarify the policies set forth in the SBC. The Board adopted the amended and restated SBC on December 19, 2008.
The Company’s SBC, as amended and restated, is available at the Company’s website at www.atmel.com/ir/governance.asp.
