Item 2.05. Costs Associated with Exit or Disposal Activities
     In connection with its continuing efforts to consolidate manufacturing operations and reduce costs, on December 6, 2005, Atmel Corporation signed a definitive agreement and consummated the sale of its Nantes, France manufacturing facility and the related foundry. Atmel anticipates a net charge of approximately $8 to $11 million in connection with this sale, of which approximately $7 to 10 million is for employee related costs while the remainder is for facilities and equipment costs. The anticipated charges are expected to result in cash payments of approximately $7 million in December 2005.
     A copy of the press release announcing the conclusion of such sale is attached as Exhibit 99.1 and is incorporated herein by reference.
