Item 8.01.   Other Events.
     On March 20, 2008, William W. Rucks, IV, one of the directors of PetroQuest Energy, Inc., entered into a sales trading plan pursuant to Rule 10b5-1 of the Securities and Exchange Act of 1934 and PetroQuest’s insider trading policy. Under the plan, between March 31, 2008 and September 25, 2008, Mr. Rucks may sell up to 50,000 shares of PetroQuest’s common stock so long as the market price of the common stock is higher than a minimum threshold price specified in the plan. Any transactions under the plan will be disclosed through Form 4 filings with the Securities and Exchange Commission.
